By checking "I agree" you hereby agree to keep any and all information delivered by Sebastian Partners regarding this Property located in Aurora, CO (the "Asset") and an equity investment/acquisition opportunity with respect to the Asset (the "Opportunity") strictly confidential and shall not disclose any such information to any third party without Sebastian Partner's prior written consent, except to your officers, directors, affiliates, partners, members, employees, financial advisors, legal counsel and accountants on a need to know basis. Notwithstanding the foregoing, such information does not include information that (a) is or becomes publicly available (other than as a result of a disclosure by you in violation of this agreement) or (b) was or is independently developed by you without use of the information furnished by us. Furthermore, you agree that you shall not, without the prior written consent and participation of Sebastian Partners (i) pursue or engage in any transaction regarding the Asset and/or the Opportunity, or (ii) except in the ordinary course of your business unrelated to the Asset and/or the Opportunity, communicate with the seller, owner, partner or investor of or in the Asset, any lender, servicer, manager, tenant, borrower, guarantor, contractor and/or obligor connected with, related to, and/or whose name is obtained from the provided information with respect to the Asset and/or the Opportunity. The above provisions shall terminate a minimum of 2 years from the date hereof or the execution of a definitive agreement with respect to the Asset and/or the Opportunity.
